Documents Required for Private Limited Company Registration in India

Registering a Private Limited Company in India needs three sets of paperwork: identity and address proof for every director and shareholder, proof of the registered office, and the company's own formation documents such as the MOA and AOA. Get these ready before you touch the SPICe+ form, and incorporation usually moves in 7 to 10 working days. Get even one of them wrong, and you're looking at a resubmission cycle that adds another week.

Every private limited company registration in India needs documents from three sources:

  1. Directors and shareholders – PAN, identity proof, address proof, photograph, and a Digital Signature Certificate for each person.
  2. The registered office – proof of the address (rent agreement or sale deed), a recent utility bill, and an NOC from the owner if the premises are rented.
  3. The company itself – Memorandum of Association (MOA), Articles of Association (AOA), and director declarations (INC-9 and DIR-2).

Documents Required for Directors and Shareholders

A private limited company needs a minimum of two directors and two shareholders (one person can hold both roles), so every one of them has to submit the following.

PAN card This is the primary identity document for any Indian national on the SPICe+ form. Your PAN also has to exactly match the spelling of your name on every other document you submit. A director whose PAN reads "Mohd. Aslam Khan" but whose Aadhaar reads "Mohammed Aslam Khan" is one of the more common reasons applications bounce back for correction.

Identity and address proof One of Aadhaar card, passport, voter ID, or driving licence. Aadhaar is the one most applicants use, mainly because it doubles as the basis for OTP-based e-KYC during DSC issuance, which speeds things up considerably.

Passport-size photograph A recent colour photograph, uploaded per the SPICe+ portal's size and format specifications.

Proof of current residential address A bank statement or utility bill (electricity, telephone, or mobile) dated within the last two months. Older than that, and the MCA will reject it as address proof, no exceptions.

Digital Signature Certificate (DSC) Every proposed director needs a Class 3 DSC to sign incorporation forms electronically. This is applied for using the identity documents above and typically takes one to two working days to issue. A quick note that trips up a lot of first-time founders: shareholders who are not also directors still need PAN, identity proof, and address proof, but they don't need a DSC unless they're also signing the incorporation forms.

Documents Required for the Registered Office

Every company needs a registered office address at the time of incorporation, or within 30 days of it. The address can be residential or commercial. What matters is the proof.

  • Ownership or rent proof – a sale deed if the premises are owned, or a rent/lease agreement if they're rented.
  • No Objection Certificate (NOC) – from the property owner, if the premises aren't owned by the company or a director. This is a one-page letter, but incorporation filings get stuck without it more often than you'd expect.
  • Latest utility bill – electricity, water, or gas bill, again not older than two months, in the owner's or landlord's name matching the ownership/rent documents.

If you're using a co-working space or virtual office, most providers issue a combined rent agreement and NOC package specifically for MCA filings. Confirm this with your provider before you commit to an address, since a mismatch between the space's registered lease name and the NOC signatory is a common rejection trigger.

Company Formation Documents

These are drafted, not collected, which is why most founders hand this part to a professional rather than attempting it themselves.

Memorandum of Association (MOA) Sets out what your company is legally permitted to do: its objects, scope of business, and liability clause. For a private limited company, the MOA also has to state the liability of members is limited.

Articles of Association (AOA) The internal rulebook: how directors are appointed, how shares transfer, voting procedures, board meeting rules. For a private company specifically, the AOA must include a restriction on transferring shares and a cap on the number of members, since leaving either out makes the filing non-compliant.

Form INC-9 A declaration from each director and subscriber confirming they aren't disqualified from being appointed under the Companies Act, and haven't been convicted of any offence connected to a company in the last five years.

Form DIR-2 Written consent from each individual to act as a director of the proposed company, along with their DIN details.

Additional Documents for Foreign Nationals and NRI Directors

Yes, foreign nationals and NRIs can be directors of an Indian private limited company, but at least one director on the board has to be an Indian resident, meaning someone who's stayed in India for at least 182 days in the previous financial year.

For a foreign or NRI director, the standard document list changes slightly:

  • Passport as the primary identity proof (mandatory, no substitute accepted).
  • Overseas address proof not older than two months, such as a bank statement or utility bill from their country of residence.
  • A recent photograph.

Here's the part that catches people out: all of these documents need to be notarised in the director's home country. If that country is a signatory to the Hague Apostille Convention, the notarised documents also need to be apostilled. If it isn't a signatory, the documents need consularisation at the Indian embassy or consulate in that country instead. Skipping this step is one of the most common reasons foreign-director incorporations stall for weeks rather than days.

Document Format Rules the MCA Actually Checks

Most guides list what to submit and stop there. The format matters just as much, and this is where a lot of otherwise-complete applications get held up.

  • Self-attestation. Every director and shareholder document needs to be self-attested (signed by the person it belongs to), not just uploaded as a plain scan.
  • Name consistency across every document. PAN, Aadhaar, bank statement, and DSC application should carry the identical name, spelling, initials, and all. Even a missing middle name can trigger a mismatch flag.
  • Two-month freshness on address proof. Bank statements and utility bills older than two months are rejected outright, for directors and for the registered office alike. Pull a fresh one right before filing, not the one sitting in your inbox from three months ago.
  • Legible scans. Blurred or partially cropped scans are a frequent, entirely avoidable cause of resubmission.
  • Matching capital figures. The authorised and paid-up capital entered in SPICe+ Part B must exactly match what's written in the MOA. A mismatch here, even by a few thousand rupees, results in rejection.

Common Reasons Incorporation Gets Delayed Over Documents

A meaningful share of SPICe+ applications face resubmission, and documentation is behind most of it. The patterns repeat:

  • PAN and Aadhaar showing different spellings or initials for the same person.
  • Utility bills or bank statements that have quietly crossed the two-month cutoff between when they were downloaded and when the form was actually filed.
  • Missing apostille or consularisation for a foreign director's documents.
  • An NOC that doesn't match the name on the rent agreement or sale deed.
  • MOA or AOA that hasn't been properly signed or notarised where required.
  • A registered office address proof that doesn't match the address entered in the SPICe+ form itself.

Each of these adds five to ten working days for correction and resubmission. Checking every document against this list before filing, rather than after a rejection notice, is the difference between a 7-day incorporation and a 3-week one.

Documents You'll Need Again After Incorporation

The paperwork doesn't end at the Certificate of Incorporation. The same PAN, Aadhaar, and incorporation documents get reused, often in slightly different combinations, for:

  • Opening a current bank account – Certificate of Incorporation, PAN, board resolution, and director KYC.
  • GST registration – PAN, incorporation certificate, address proof, and authorised signatory details, if it applies to your business from day one or once turnover crosses the threshold.
  • MSME/Udyam registration – largely Aadhaar and PAN-based for the authorised person, and one of the faster registrations to complete once the company exists.
